In case you missed it, the SEC’s EDGAR system will be closed on both Tuesday and Wednesday, Christmas Eve and Christmas Day, because the federal government will be closed on both days.

That means that no filings will be accepted on EDGAR, the website will not be operational and the Filer Support Call Center will be closed. Filings due by December 24 or December 25, 2019, “will be considered timely if filed on or before December 26, 2019, the next business day,” when EDGAR will reopen.

Our understanding, based on a conversation between our NY office and SEC staff, is that  December 24 will not count as a “business day” for purposes of calculating filing deadlines.
